These Terms & Conditions (the “Terms”) govern your access to and use of WayInc’s website, business-structure assessment, recommendations, articles, contact forms and related services (together, the “Services”). In these Terms, “WayInc”, “we”, “us” and “our” refer to WayInc, and “you” and “your” refer to the person using the Services.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What WayInc provides

WayInc provides general educational information and rule-based decision support to help people compare common business structures and setup considerations in Singapore. The assessment uses the answers you provide and WayInc’s published decision rules to generate a recommendation or indicate when the result is close or unresolved.

A recommendation is not an application to ACRA, an approval, an offer to provide a regulated service, or a guarantee that a structure is available or suitable for you. WayInc does not register a business, create a legal entity, or act as your corporate secretary merely because you use the Services or submit a contact form.

2. General guidance, not professional advice

The Services provide general guidance only. They are not legal, tax, accounting, financial, investment, immigration or other professional advice, and they do not take account of every fact that may affect your situation. Using the Services does not create a lawyer-client, accountant-client, fiduciary, advisory, agency, partnership or other professional relationship with WayInc.

You should verify important information with official sources and obtain advice from appropriately qualified professionals before registering, restructuring, investing, signing documents or making other decisions. Rules, fees, processing times and regulatory requirements can change.

3. Your responsibilities

You are responsible for the decisions you make and for checking that any business structure, service provider or next step is appropriate for your circumstances. You agree to:

  • provide information that is accurate, current and complete;
  • review the reasoning, limitations and important conditions shown with a recommendation;
  • check current requirements with ACRA, IRAS, MOM and any relevant regulator or professional adviser; and
  • comply with all laws and obligations that apply to you and your business.

You must be at least 18 years old and legally able to agree to these Terms. If you use the Services for a business or another person, you confirm that you have authority to do so and to bind that organisation to these Terms.

4. Recommendations and provider listings

Recommendations are based on the answers you submit and WayInc’s decision rules. Incomplete, uncertain or inaccurate answers can change the outcome. WayInc does not promise that a recommendation is the only available option, the lowest-cost option or the most suitable option after a full professional review.

WayInc may identify or introduce third-party service providers using transparent criteria. WayInc does not favour a business structure or provider because of a commercial relationship. If WayInc may receive a referral fee, commission or other benefit from a provider, we will disclose that relationship where the provider is presented.

Provider availability, eligibility, scope, prices and terms can change. Any engagement is between you and the provider under the provider’s own terms. You are responsible for evaluating the provider. Unless expressly stated, WayInc does not endorse, control or guarantee a provider’s advice, services, conduct or outcomes.

5. Accuracy and availability

We aim to keep the Services clear, accurate and current, but the content may contain errors, omissions or outdated information. Public sources may change without notice, and official decisions can depend on facts not captured by the assessment. To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties or guarantees of accuracy, completeness, fitness for a particular purpose, uninterrupted access or a particular outcome.

We may change, suspend or discontinue any part of the Services, including questions, decision rules, content and provider listings. We are not responsible for delays, interruptions, data loss or technical issues outside our reasonable control.

6. Acceptable use

You must not:

  • use the Services unlawfully, fraudulently or to harm another person;
  • submit information you do not have the right to provide;
  • interfere with the security, integrity or operation of the Services;
  • attempt to gain unauthorised access to systems, accounts or data;
  • use automated means to scrape, copy or place an unreasonable load on the Services without our written permission; or
  • misrepresent WayInc content or recommendations as professional advice or official government guidance.

We may restrict or suspend access where we reasonably believe these Terms have been breached or where necessary to protect the Services, our users or others.

7. Intellectual property

The Services, including WayInc’s branding, website design, text, assessment questions, decision rules, software, graphics and other original materials, are owned by or licensed to WayInc and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your own personal or internal business purposes.

You may not reproduce, modify, distribute, sell, license, reverse engineer or commercially exploit any material from the Services except where the law permits it or WayInc gives prior written permission. Third-party names, marks and content remain the property of their respective owners.

8. Information you submit and privacy

You retain ownership of information you submit. You give WayInc permission to use it as reasonably necessary to operate the Services, generate and improve recommendations, respond to your request, maintain security and comply with law. You confirm that you have the right to provide that information and that doing so does not infringe another person’s rights.

Our Privacy Policy explains how we collect, use, disclose and protect personal data. Optional analytics technologies are controlled through the cookie choices shown on the site.

9. Third-party websites and services

The Services may link to ACRA, other government sources, professional advisers, service providers or other third-party websites. Links are provided for convenience and information. Third-party sites and services are outside WayInc’s control and are governed by their own terms and privacy practices. WayInc is not responsible for their content, availability, security or actions.

10. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

To the fullest extent permitted by law, WayInc and its officers, employees and contractors will not be liable for indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, opportunity, goodwill, anticipated savings, business, contracts or data, arising from or connected with the Services, a recommendation, reliance on content, a third-party provider, or inability to use the Services.

To the fullest extent permitted by law, WayInc’s total aggregate liability arising from or connected with the Services or these Terms will not exceed the greater of the amount you paid WayInc for the affected Services during the 12 months before the event giving rise to the claim and S$100.

11. Indemnity

To the extent permitted by law, you agree to indemnify WayInc against third-party claims, losses and reasonable costs arising from your unlawful use of the Services, your material breach of these Terms, or content you submit that infringes another person’s rights. This section does not require you to indemnify WayInc for WayInc’s own negligence or misconduct.

12. Changes to these Terms

We may update these Terms to reflect changes to the Services, our practices or applicable law. The “Last updated” date shows when the current version took effect. Changes apply when posted, unless a later date is stated. Your continued use of the Services after an update means you accept the revised Terms.

13. Governing law and disputes

These Terms and any dispute or claim arising from them or the Services are governed by the laws of Singapore, without regard to conflict-of-law principles. The courts of Singapore have exclusive jurisdiction, unless applicable law gives you a right to bring a claim elsewhere that cannot be excluded by agreement.

14. General

These Terms and the Privacy Policy form the entire agreement between you and WayInc concerning your use of the Services, unless you and WayInc enter into a separate written agreement for another service. If a court finds any provision unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our written consent. WayInc may transfer its rights and obligations as part of a reorganisation, merger, sale or transfer of the Services. A person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 2001.
